Pratt & Whitney to take 18.4 pc in InfoTech
IN a significant development, Pratt & Whitney, a division of the US-based major conglomerate United Technologies Corporation, is set to acquire a significant equity holding of 18.4 per cent in InfoTech Enterprises Ltd, a software solutions major.
InfoTech is currently specialising in geographical information systems (GIS) software services with a focus on a number of key vertical markets such as corporate, financial services, telecom, transportation and local government.
Pratt & Whitney, which is an existing and valued customer of InfoTech, currently does not holding any stake in the Rs 6.12-crore paid-up equity capital of the Hyderabad-based company.
Analytical Surveys Inc and Walden are the only two foreign equity holders in the company, with a total stake of 2.89 per cent.
At present, InfoTech has an agreement with Pratt & Whitney for providing various services.
Aimed at having a strategic long-term relationship with Pratt & Whitney, InfoTech Enterprises plans to offer equity stake to the US company.
Pratt & Whitney would be offered up to 12 lakh equity shares and three lakh share warrants, convertible into equity shares, aggregating not more than 15 lakh equity shares altogether, on a preferential allotment basis.
While the equity shares of Rs 10 each would be priced at $ 6 per share, the share warrants convertible into equity shares of Rs 10 each would be priced $ 10 per warrant in the preferential offer route.
The proposed resolution to offer shares to Pratt & Whitney on preferential basis is to facilitate the InfoTech board to complete the transaction after Pratt & Whitney obtains necessary corporate approvals.''
The proposed preferential offer would result in Pratt & Whitney emerging as the second largest stakeholder in the company after the Indian promoters, on the conversion of share warrants into equity shares. On the expanded equity base of Rs 7.62 crore, the holding of Indian promoters would get reduced to 30.7 per cent, while Pratt & Whitney end up with a holding of 18.4 per cent.
However, according to the InfoTech official, the proposed preferential offer would not result in any change in control over the company and the Indian promoters would continue to have management control.
As per the memorandum of understanding (MoU) signed between the two parties, Pratt & Whitney would be entitled to appoint a nominee director on the InfoTech board. The US company would have up to 20 per cent voting rights in the company after the conversion of warrants into equity shares and not exceeding 16 per cent voting rights prior to conversion of warrants into equity shares, the official said.
Hi-Tech plan to check errant buses in Delhi
By February 2002, 200 DTC-controlled buses will have to stop at all the bus-stops in the city, and yet run on time in Delhi, India. This is what DTC chairman Rakesh Mehta promised on Thursday, talking about the new automatic fleet management system. This scheme will
Spread to 1,000 such buses by the end of 2002.
"The automatic vehicle tracking system will help us in finding out whether these buses are running on time. And if they are, whether they stop at all the designated bus stops," Mehta said, discussing DTC's future plans.
Cash-strapped DTC has invested more than Rs 4 crore in this project which will help in
Tracking the movement of the vehicles through satellites. "Using the Global positioning system, we can spot errant vehicles on a real-time basis. If one of these 200 buses doesn't
Stop at even one of the stops, the owner of the bus will be fined Rs 500," he said.
Of the 200 buses the corporation will be starting with, 70 will be those plying under the kilometer scheme. "We will involve them as well, as there are frequent complaints of these km-scheme buses not stopping at bus stops. And the present complaint book system doesn't help in this regard either. Through AVTS, we will have concrete evidence to penalize them, even without any complaint or a witness," the DTC chairman said.
To ensure that the bus stops figure in the digital map of the city, the 5,000 DTC bus stops will be digitalized by January 31, 2002. "The personnel sitting in the DTC control room can then easily figure out whether buses are taking the correct route and stopping at all bus stops, " he said.
Planned by IIT experts, the system will also facilitate in providing emergency services to these buses, under AVTS. "They will have a panel with several switches for different services. One will be connected with the police control room, another for CATS ambulances, still another for vehicle repair and even tyre replacement," he said.
Besides the AVTS, the chairmen announced several new initiatives by the DTC for the New Year. A look at these…
- Automatic ticketing machines will be introduced in 100 buses on inter-state routes. This, Mehta believed, would reduce corruption at the conductor level.
- Instead of not-so-visible display boards in DTC buses, where bus numbers are written in chalk, light electronic diode display boards will be fitted one all city buses. " They will be clearly visible at night," he said.
- Nearly 700 new bus shelters, with Delhi city guide maps indicating the location of the commuter on each bus stop. "It will also show the bus numbers passing through the stand, along with its timing." Mehta said. The first one has been installed at the Appu Ghar bus stop.
Buses on inter-state routes will not buy diesel from outside. They will carry additional diesel tanks, thereby saving on higher prices of diesel sold elsewhere. This will also place check on pilferage. "They will not halt at designated bus terminals and not at unauthorized dhabas," the chairman said.
The electric trolley bus project has been found feasible by public sector consultants, SBI Capital Markets. "We will be implementing one section on trial basis next year." He said
